Acceptance of the Terms of Use‍

TechiesGiveBack ("TGB" or "we") provides raisedby.us (our "Site") in support of our mission to encourage charitable giving at the workplace. By accessing our Site, you accept without limitation or qualification and agree to be bound and abide by the following terms and conditions (collectively, these “Terms of Use”). If you do not want to agree to these Terms of Use or our Privacy Policy, you should leave the Site immediately.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. You should check this page periodically to take notice of any changes that we have made, as they are binding on you. All material changes will apply prospectively only. Any changes to the dispute resolution procedures set forth below in Governing Law and Jurisdiction shall not apply to any disputes for which the parties had actual notice as of date the change was posted on our Site. Your continued use of our Site following the posting of revised Terms of Use means that you accept and agree to any and all changes.

Protection of Privacy

TGB is committed to protecting the privacy of visitors to our Site. All information gathered from you in connection with your use of the Site is governed by our Privacy Policy, available at www.raisedby.us/privacy.

Accessing our Site and Account Security

We reserve the right to withdraw or amend our Site, and any service or material we provide on our Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of our Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of our Site, or the entire Site, to users.

The names, titles, trademarks, service marks, and logos that appear on our Site are owned by TGB. You may not use such marks without our prior, written permission.

The trademarks of third parties may also appear on our Site from time to time; you may not use these trademarks without prior, written permission of their respective owners. You acknowledge and agree that nothing on our Site grants, expressly or implicitly, by estoppel or otherwise, any right or license to use any of our marks or may be construed to mean that we have authority to grant any right or license on behalf of any third party trademark owner.

All Content is Protected by Copyright Laws

Images, text, software, documentation, electronic text and image files, audio and video files and clips, and other materials on our Site are protected by copyright laws and may be covered by other restrictions as well. TGB retains all rights it may hold, including copyright, in data, image, text, and any other information contained in these files. Copyrights and other proprietary rights in the material on our Site may also subsist in individuals and entities other than, and in addition to, TGB. TGB expressly prohibits the copying of any protected materials on our Site, except for the purposes of fair use as defined in the copyright laws, and as described below.

You may use our Site only for lawful purposes and in accordance with these Terms of Use. You agree not to use our Site:

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of our Site, or which, as determined by us, may harm TGB or users of our Site or expose them to liability.

Additionally, you agree not to:

  • Use our Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of our Site, including their ability to engage in real time activities through our Site.
  • Use any robot, spider or other automatic device, process or means to access our Site for any purpose, including to monitor or copy any of the material on our Site.
  • Use any manual process to monitor or copy any of the material on our Site or for any other unauthorized purpose without our prior written consent.
  • Use any device, software or routine that interferes with the proper working of our Site.
  • Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

  • Otherwise attempt to interfere with the proper working of our Site.

Copyright Infringement

If you believe any materials accessible on our Site infringe your copyright, you may request removal of those materials from our Site by submitting written notification to our designated Copyright Agent. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”), the written notice (the “DMCA Notice”) must include substantially the following:

  • Your physical or electronic signature.
  • Identification of the copyrighted work you believe to have been infringed or, if the claim involves multiple works on our Site, a representative list of such works.
  • Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material.
  • Adequate information by which we can contact you (including your name, postal address, telephone number and, if available, e-mail address).
  • A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent or the law.
  • A statement that the information in the written notice is accurate.
  • A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

We have the right to:

YOU WAIVE AND HOLD HARMLESS TGB FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY TGB DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER TGB OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review all material before it is posted on our Site, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this paragraph.

The information presented on or through our Site is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Tax Deductibility

TGB has not received exemption with the Internal Revenue Service as an organization that qualifies as a public charity under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended from time to time. TGB does not make any representation regarding the exemption status of any organization whose website may be accessed through our Site. You acknowledge that you are solely responsible for determining the proper tax treatment for any donation you make to any organization in connection with our Site. TGB has not and will not provide any tax or legal advice to you in connection with any donation you might make. If you donate to TGB or any other organization through the Site or any site to which the Site links, you should consult with your own accountants, tax advisors and legal advisors.

Limitation on Liability

Indemnification

You agree to defend, indemnify and hold harmless TGB, its affiliates and licensors and their respective officers, directors, employees, contractors, agents, licensors and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) resulting from your violation of these Terms of Use or your use of our Site, including, without limitation, any use of our Site’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from our Site.

Governing Law and Jurisdiction

These Terms of Use and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or our Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York in each case located in the City of New York and County of New York although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Waiver and Severability

No waiver of these Terms of Use by TGB shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of TGB to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use and our Privacy Policy and any other agreements referenced therein constitute the sole and entire agreement between you and TGB with respect to our Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to our Site.
